The head of a company or his or her authorised person can open a bank account by visiting a bank unit of their choice.

When you have a bank account, you can:

  • Withdraw cash in euro or in a foreign currency
  • Receive funds in euro or in a foreign currency to the account from other accounts
  • Transfer money to other accounts in Lithuania and abroad
  • Buy and sell foreign currency
  • Transfer salaries to your staff from the account
  • Order the bank to debit a specified amount from the account to different remittees

A company’s bank account may be opened by its head or by his or her authorised person (subject to presenting a notarized power of attorney). To open a bank account at SEB branch, please book a meeting by phone +370 5 268 2822 (I-V 8.00 – 17.00) at your convienient time and provide all necessary documents required by the law of Lithuania.

What documentation should be submitted when opening a bank account?

When a bank account is opened for a legal entity registered in Lithuania

The bank starting its cooperation with any new customer shall follow the “Know Your Customer” (KYC) principle to be implemented in accordance with the international law and acts of law of the Republic of Lithuania. The above prevents money laundering, terrorist financing, identity thefts and prevents customers from fraud. More information is available in section “Why Do Banks Ask?”

To open an account, please provide us the following:

  • access code of the State Enterprise Centre of Registers to be specified for obtaining an electronic certified extract of a legal entity or the original copy of an expanded extract from the Register of Legal Entities (issued not earlier than 3 months before the date of application)
  • original copy or a transcript of the company's incorporation documents (Articles of Association, Regulations, etc.)
  • document substantiating information about the company / institution owner(s):
    • extract from the Information System of Legal Entities Participants (JADIS) (issued not earlier than 3 months before the date of application), if the legal form of a legal entity is a private limited company (UAB), small partnership (MB), public company(VšĮ), agricultural company (ŽŪB), cooperative company (kooperatinė bendrovė (kooperatyvas)), general partnership (TŪB), limited partnership (KŪB)
    • founding agreement, a shareholder register, any other formal document, if the legal form is different from those specified above
  • complete ownership structure of the company / institution covering all level members (legal entities and private individuals) and their ownership percentage
  • identity document of a person, who signs the agreement (passport, identity card, residence permit)
  • company seal, if such requirement is established in the incorporation document of the company or if required by law

Prior to starting our cooperation, we may request you to provide us with additional documents, written explanations or ask questions about the nature of the company activities, expected transactions or the origin of funds (assets). In some cases, your account opening may take up to 10 business days from the submission date of all standard and additional documents
 

Note

  • If the agreement will be signed by a person authorized by a legal entity, a  power of attorney approved by head or by any other management body of the legal entity to sign the bank account agreement will be required (if a legal entity is not a customer of the bank, the power of attorney must be notarized)
  • If you provide us with transcripts of the documents, they must be notarized
  • If a legal entity is a general partnership or a limited partnership, you will be required to additionally submit joint activity agreement or its transcript
     

When a bank account is opened for a legal entity not registered in Lithuania

  • Original copy or transcript of an extract from the Register of Legal Entities (issued not earlier than three months before the legal entity applies to the bank asking to open an account) or the original copy or transcript of company's Certificate of Incorporation
  • Original copies or transcript of the company's incorporation documents (Articles of Association, regulations, etc.)
  • Transcript of the decision of the management body of the legal entity which testifies to the appointment or election of the head and to his or her right to dispose of the funds contained in the account, where this is not established in the incorporation documents
  • Power of attorney to sign a bank account agreement issued by the head or other management body of the legal entity, if the agreement is signed by a person authorised by the legal entity
  • Relevant identity document of the person who signs the agreement:
    • Passport or personal identity card of a citizen of the Republic of Lithuania
    • Passport of a citizen of a foreign state
    • Personal identity card of an EU Member State, Liechtenstein or Switzerland
    • Permit for temporary or permanent residence in the Republic of Lithuania
    • Foreigner's passport of the Republic of Lithuania
  • Company seal if such is required by founding documents or by laws
  • Sample card of signatures and seal (to be completed at the bank)
  • Application to Open a Bank Account (to be completed at the bank)
  • Questionnaire for Legal Entities (PDF),  if the ultimate beneficial owner (beneficiary) of funds in the account is another person as well as Entity tax residency self-certification form (PDF)
  • Legal entity’s shareholding structure
  • Detailed written description of economic activities and business interests in the Republic of Lithuania.
  • Documents supporting the economic need of banking services in the Republic of Lithuania (e.g. agreements with business partners in the Republic of Lithuania, etc.)
  • 12 recent months’ statements of accounts from financial institutions whose services are used by the legal entity.
  • Annual Accounts

All these documents must be translated into Lithuanian and the translator’s signature must be certified by a notary of the Republic of Lithuania. The documents must also be legalized according to the laws and regulations of the Republic of Lithuania.

The bank may ask you for additional documentation, information or explanation where this is required according to laws and regulations.

Please send all the required documents by email at non-residents@seb.lt. Following the document verification, which may take up to 3 months, the customer will be contacted personally.

When a temporary accumulation account is opened for a company under incorporation

  • The Memorandum of Association or the Incorporation Agreement of the legal entity or its notarized copy
  • A notarized power of attorney to sign a bank account agreement issued by the founders, if the bank account agreement is signed by someone else than the founders and such authorisation is not established in the Memorandum of Association or in the Incorporation Agreement
  • Application to Open an Accumulation Bank Account (to be completed at the bank)

When a bank account is opened for bailiffs, attorneys, notaries or farmers

  • A taxpayer's registration certificate
  • An order of the Minister of Justice of the Republic of Lithuania on the appointment of an individual to the position of a bailiff, if the account is being opened for a bailiff
  • A certificate issued by the Lithuanian Bar Association which grants the right to practice as lawyer, if the account is being opened for an attorney
  • A decision of the Lithuanian Bar Association to include an individual in the Lithuanian List of Legal Assistants, if the account is being opened for a legal assistant
  • An order of the Minister of Justice of the Republic of Lithuania on the appointment of an individual to the position of a notary, if the account is being opened for a notary
  • The original copy or a notarized transcript of the registration certificate of a farm, if the account is being opened for a farmer
  • Application to Open an Account (to be completed at the bank)

1 The fee is applied for every bank account of a customer.

2 Administration of incoming payments in all currencies transferred within SEB Bank and administration of incoming payments in euro from other banks registered in Lithuania, the EU, the EEA countries, Switzerland, Monaco, San Marino and Andorra.

3 All legal persons having their registered office outside Lithuania are classified as non-resident customers.

4 The fee applies to corporate customers registered in the Republic of Lithuania if at least one of such corporate customer’s founders or its beneficial owners is a natural person who complies with the definition of a private individual non-resident customer as set out in the Bank’s Pricelist for private individual customers or for corporate non-resident customers. The fee shall be payable before the verification carried out by the bank and before the bank's decision on starting business relationship with the customer, also each time when during the relationship with the customer, the founders or beneficial owners of the customer are replaced by persons complying with the definition of private individual non-resident customer as it approved within the bank.

5 The fee may be applied to legal entities, which SEB Bank notifies of the application of the Account Balance Fee 10 business days in advance.
The fee is calculated for each calendar day, taking into account the total amount of balances in all bank accounts of a customer and the amount of funds in the customer’s  submitted payment orders as at 11:00 p.m., if the payment orders to transfer funds to another bank were submitted after 4:00 p.m. or on a bank holiday.
No fee will apply, if the central bank rates in a relevant currency indicated in the table are zero or above zero. The amount of the fee calculated for the previous month is debited the next calendar month in accordance with the procedure set in the General Rules of SEB Bank.
